Agreement

These Terms & Conditions (the “Terms”) are an agreement between you and ITIBG LLC, a Wyoming limited liability company (“ITIBG,” “we” or “us”). They govern your use of our websites, including itibg.com, our services, and our text message program (together, the “Services”). By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

The Services include every ITIBG product: Social Content Manager, ITIBG Leads, higgsfield_copy and weweb_copy, and the websites ITIBG Leads runs under their own brands. Sections below add terms specific to each product.

Eligibility

You must be at least 18 years old, or the age of majority where you live, to use the Services. By using them you confirm that you meet this requirement and that the information you give us is accurate.

Use of the services

You agree not to:

• use the Services for anything unlawful, harmful or fraudulent;
• interfere with or disrupt the Services, or try to gain unauthorized access to them;
• copy, resell or exploit the Services without our written permission;
• give us someone else’s phone number or information without their permission.

We may suspend or end your access to the Services if you break these Terms.

SMS Terms

These SMS Terms apply to text messages sent by ITIBG.

Program. ITIBG Messaging: One text message program covering all ITIBG apps and services: account and security alerts, service and transactional notifications, customer support conversations and, only with a separate opt-in, promotional messages.

Message types.

• Account and security alerts, such as sign-in and password change notices.
• Service and transactional notifications, such as approvals, content and publishing status, scheduling reminders, and billing and payment notices.
• Customer support conversations.
• Optional promotional and marketing messages, sent only to subscribers who give a separate opt-in.

Consent. You join by entering your mobile number and checking a consent box in the sign-up, account settings or contact forms of ITIBG apps and websites. Service messages and promotional messages have separate boxes; each is optional and unchecked by default, and promotional messages are sent only if you check the promotional box. Consent is not a condition of any purchase. How consent works is described in full on SMS messaging and opt-in.

Frequency. Message frequency varies. For promotional messages: Message frequency varies; promotional messages are occasional.

Cost. Message and data rates may apply. Any charges are billed by your mobile carrier under your plan. ITIBG does not charge for the messages.

Keywords. Reply with any of these keywords at any time. Opting out stops all messages; you will receive one confirmation message and no further messages.

Carriers. Carriers are not liable for delayed or undelivered messages.

Eligibility. You must be the account holder of the mobile number, or have the account holder’s permission, and meet the age requirement above. If you change or give up your number, reply STOP first or tell us so we can stop messaging it.

Privacy. Your mobile information is handled under our Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Second program: ITIBG Leads enquiry texts. If you make an enquiry on an ITIBG Leads website and opt in, or text a tracking number, you may receive texts about your enquiry from the website’s brand, sent by ITIBG LLC on behalf of the business handling it: Text messages to people who made an enquiry through an ITIBG Leads website form, or called or texted a tracking number, about that enquiry, sent by ITIBG LLC on behalf of the local business handling it. Message frequency varies. Message and data rates may apply. The same keywords apply, and carriers are not liable for delayed or undelivered messages. Texts under this program come only from the website’s brand, on the website’s number; the business handling your enquiry does not text you under this consent. ITIBG Leads partner terms

These terms apply to businesses that receive leads from ITIBG Leads (“ partners”), together with your partner agreement. If they conflict, your partner agreement controls.

Lead purchase and site rental

Leads are provided on a pay-per-lead basis or through a flat monthly site rental, as set out in your partner agreement. In regulated industries, such as drug and alcohol treatment, we charge a flat advertising fee only and never a fee per lead, referral or patient. Payments are processed by Stripe.

When you rent a site, you rent its lead flow, not the site. ITIBG owns and controls the website, domain, content, tracking numbers and what is published. Your service declarations steer how leads are routed but do not change what is published, and leads you decline may go to other businesses. Your name and licence details appear on a site only while you hold the rental, and only from your own active credential. Nothing transfers to you when the rental ends. We do not guarantee any volume of leads.

Lead disputes

You may dispute a lead that is invalid, for example a wrong number, spam, a duplicate, or a request outside your service or area, by telling us through the partner portal or at support@itibg.com. A dispute must be filed within 14 days of delivery. ITIBG reviews it against the call and lead record, including the recording, timing and source. An accepted dispute is credited to your account balance or next invoice; there are no cash refunds for leads. A missed or unanswered call, or a call with no reported duration, is not by itself a valid reason to dispute. The decision is final after review, subject to applicable law and any written partner agreement.

Acceptable use for partners

• Use lead details, recordings and transcripts only to respond to the person who contacted you, and never sell, share or reuse them.
• Follow the laws that apply to you, including telemarketing, call recording, text message and consumer protection laws, and health privacy and patient brokering laws for treatment leads.
• Keep the licences your work requires, and keep your account details accurate.
• Answer leads promptly and honestly, and do not misrepresent who you are or what you offer.
• Keep partner portal access limited to your own staff.

We may pause or end lead delivery if you break these terms.

Terms for visitors to ITIBG Leads websites

ITIBG Leads websites and directories provide general information about local businesses and services, and help you contact them. The information is for directory purposes only. We do not guarantee the work, licensing, prices or availability of any listed business; check them before you hire. Reviews shown are public reviews from third parties.

higgsfield_copy and weweb_copy terms

These terms apply to higgsfield_copy, including its marketplace, Spaces and paid APIs, and to weweb_copy, in addition to the rest of these Terms.

AI and generated output

Generated output can be inaccurate, unexpected or similar to other people’s output. We do not guarantee its accuracy, quality or fitness for any purpose; review it before you rely on it. You own your inputs and outputs, subject to the terms of the model providers that produce them, and you are responsible for how you use them.

Acceptable use

You must not use higgsfield_copy or weweb_copy to create or share content that:

• is illegal, harmful, harassing, or sexually exploits minors;
• infringes anyone’s intellectual property, privacy or publicity rights;
• is a deceptive deepfake, or impersonates a real person to mislead;
• uses a person’s voice or likeness without their consent, including cloned voices;
• spreads malware, spam or fraud, or attacks other systems.

You must have consent for any voice you upload or clone.

Marketplace, Spaces, paid APIs and publishers

Content you publish to the marketplace or Spaces is public. If you publish a workflow or a paid API, you are the publisher: you are responsible for what it does, its description, its pricing, and the rights to everything in it. Buyers use published workflows and APIs at their own discretion and under these Terms. We may review, moderate or remove public content and suspend publishers who break these Terms.

Credits and billing

higgsfield_copy uses prepaid credit packs, and credits are used when you generate. Prices and credit costs are shown in the product. Card payments will be processed by Stripe once card billing is live.

Your responsibilities for your users’ data

When you use higgsfield_copy or weweb_copy to handle data about your own users or customers, you are the controller of that data and we process it on your instructions. You are responsible for having a lawful basis, giving the notices and collecting the consents your users need, including for analytics and cookies you add to your apps, and for the services you connect with your own keys. A data processing agreement is available on request.

Intellectual property

The Services and their content, including text, graphics, logos and software, belong to ITIBG LLC or its licensors and are protected by law. These Terms do not give you any right to use our names, logos or trademarks.

Disclaimers

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

Limitation of liability

To the fullest extent the law allows, ITIBG LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from your use of the Services.

Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. Any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction.

Changes to these terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Continuing to use the Services after a change means you accept the updated Terms.
